- Perform Financial Due Diligences relating to the sale or acquisition of companies together with a young and dynamic, multi-cultural project team;
- Help to identify risks and items which should be considered in the purchase price and provide input to the share/asset purchase agreements;
- Apply state-of-the-art analytics tools in your analysis and have the opportunity to drive the application of further digital solutions within TCF;
- Preparation of transaction documents such as information memorandum, teaser, management presentation;
- Prepare potential buyer and target lists and help in the reach-out to interested parties;
- Populate virtual data rooms and support the Q&A process during the due diligence phase;
- Support in the negotiation phase of a transaction as well as in preparation of signing and closing;
- Perform company and corporate valuations using market and comparable transaction multiples and the DCF method;
- Conduct industry and comparable company research, analyze business models and cost of capital with the aim of better understanding a target company;
- Carry out company and asset valuations using various method and according to international standards;
- Prepare detailed reports outlining the due diligence findings, valuation and assumptions thereof;
- Create financial models and prepare data analysis and data visualization of large databases to support the strategic and operative decision-making process of our clients;
- Evaluate intangible assets in the context of the purchase price allocation (PPA) in accordance with IFRS 3. Moreover, you will prepare and review impairment tests in accordance with IAS 36 and complex securities valuations in accordance with IFRS 2;
- Support the EY Audit Teams in the context of impairment test projects and cost of capital computations;

- Completed university degree in Business Administration, Accounting, Finance, Economics or in a STEM field;
- A strong interest for transactions and corporate finance, ideally demonstrated through previous work experience or internships (i.e. 1 to 3 years) in the Transaction/Corporate Finance department of a bank, a Private Equity fund, a consulting firm, or a Big4;
- Interest in or experience of working with international clients including working with multiple accounting standards including IFRS, US GAAP and other local standards;
- Good communication and presentation skills in English AND German, both verbally and in writing, are a must. Additional knowledge in either French or Italian is welcomed;
- Knowledge of analytical tools such as Alteryx, PowerBI as well as a high level of Microsoft office skills (Excel and PowerPoint) ;
- Sharp analytical thinking, exceptional problem-solving skills, common sense and a sense of humor;
